OLD BUSINESS

*March’s ride didn’t happen

 *Ray gave the State a list of how many stakes and what we needed for staking the Pines area for signage.

*Ray, Erik, Dan  and Gordy will make arrangements possibly next week to pick up stakes.

*The Poker Run is going to happen. Don Pownell and Dan Fraley are manning the Webb Creek Safety Shelter, Stroms  the Baby Wagon turn out, Jeff S. the Canyon Creek Turn out, Michell will do Deer Haven and Meadowlark Ski Area.  Each stop may take refreshments for the riders if they so desire. The people manning the stops are to meet at Baby Wagon at 9:30 on Saturday morning. All packets were given out for each stop at the meeting. (punch,notebook, pen) A waver was made up for all participants to sign at the time they pay and register.  All stop attendees must close up at 3:00pm and go to Deer Haven to turn in their notebooks for the winners. Erik must have his registration money and notebook at Deer Haven before 4:30. There was a motion for the Club to buy and take lunch to all the stops. It was 1st Erik 2nd Don Pownell.

*The Hill Climb - Still waiting to see if Waynes insurance will cover it

NEW BUSINESS

*Jan met with Bill Dooley, Accountant March 09 for clubs tax responsibility for 2010 and to see if we should become a non profit tax exempt entity. For now he doesn’t see us having to pay any taxes this year nor becoming a tax exempt entity. He suggested highly of doing so in the future. Especially if we make over $5,000.00 a year in profit. He suggested we contact an attorney to discuss non profit tax exempt entity.  March 31 Jan and Ray met with Sean Durrant, Attorney. He stated there are 2 things associated with a non profit 1.State-which covers liability to a point and 2. Federal (501C3)-which is a nonprofit corp. exempt organization. Several things were discussed, but with us just having a club that is not out to make money for profit, then we shouldn’t worry about it at this time. Again it was stated to consider it in the future. He reviewed our Bi Laws and highly suggested we make an Article on Indemnification to protect the club and officers.

*Changed the Bi Laws ARTICLE VI: SECTION 2 – NOMINATION OF OFFICERS FROM JUNE TO OCT AND THE ELECTION OF OFFICERS FROM JULY TO NOV  -  ARTICLE VII: SECTION 2 – NO CHANGE  -  ARTICLE VII: SECTION 4 – DUES PAYABLE PRIOR TO DEC 31 AND DELIQUENT BY JAN 31  - ARTIICLE VI: SECTION 7 – TERM OF OFFICE FOR ALL OFFICERS WILL BE A TWO YEAR TERM - ARTICLE XII – INDEMNIFICATION  Motion approved Erik 1st and Clint 2nd

*May 10th will be our last meeting of the year.

*Gordy is in charge of setting the club up at Lake De Smet this summer for a get together and cook out at the Lions building at the lake. Clint 1st and Don Pownell 2nd

*Ray gave out the club awards: Don Pownell, Snowmobiler of the Year, The Pearce Family, Snowmobile Family of the Year, Erik Elmer with Elmers Sports for Snowmobile Business of the Year.
